Jagger Partners

About

Jagger Partners work with founders and growing businesses on the legal side of raising capital and scaling up. With over 50 equity crowdfunding raises completed, Jagger Partners have seen it all and know how to get it right. The firm brings top-tier legal expertise and delivers practical, commercial advice that moves things forward.

Expertise

Jagger Partners focus on capital raising, M&A transactions, commercial and corporate structuring for startups and growth-stage companies. Jagger Partners understand the legal side deeply and know how to balance it with business realities.

Members of the Jagger Partners team have been working on CSF raises since crowdfunding was introduced in Australia. Over 50 campaigns later, the firm has refined its approach based on what actually works—not just legally, but practically. Jagger Partners know how to structure companies properly, navigate legislative requirements smoothly, and prepare constitutions and offer documents that stand up to scrutiny. Most importantly, Jagger Partners know the common mistakes that can derail campaigns and ensure clients avoid them.

Services and deliverables

Jagger Partners handle the commercial legal needs of startups, scale ups and emerging companies, including:

  • CSF constitutions (a combined constitution and shareholder agreement built specifically for crowdfunding)
  • CSF offer documents (drafting and reviewing the legal sections and compliance requirements)
  • Structuring and strategy (getting your corporate setup, IP, and governance right before you raise)
  • Capital raising across all stages (crowdfunding, angels, VC, Series A/B)
  • M&A transactions (buy-side, sell-side, exits)
  • IP protection (trademarks, assignments, licensing)
  • Commercial contracts (supply agreements, distribution deals, master agreements, JVs)
Pricing estimates

Jagger Partners work primarily on fixed-fee arrangements. The firm takes time to understand your situation properly, then provides clear transparent pricing. The goal isn't just getting you through your CSF raise, it's building a relationship where Jagger Partners become your go-to legal team as you grow. The firm wants to be there for the next round, the next deal, and the exit down the track.

Engagement process

The process begins with a thorough assessment of where you are - your structure, your existing agreements and whether you're ready to raise. Jagger Partners then prepare what you need for a CSF raise (CSF constitution, legal sections of your CSF offer document, resolutions etc) and guide you through the legal/strategic aspects of the raise. The firm stays involved throughout, troubleshooting issues as they arise and keeping things moving. It's hands-on, partner-led work where you deal directly with our Directors.

Case studies

Jagger Partners have worked with companies across tech, medtech, food and beverage, renewable energy, e-commerce, and SaaS on raises, acquisitions, restructures and their ongoing commercial legal needs. The firm has helped clients raise millions, execute exits, and build structures that support sustainable growth.

Client testimonials

"Jeremy is a fantastic legal partner with great commercial acumen on top of his legal advice. He became a real partner in our crowdfunding campaign, providing invaluable guidance every step of the way." — David Andrew, Founder of Naked Life (raised $2.95M)

"Jeremy Goldman was instrumental in supporting Volt Solar Tile throughout our CSF raise on Birchal. He was incredibly hands-on, working with me personally to navigate the process with confidence. Jeremy's advice on risk, structure, and governance was excellent, and he played a key role in helping us update our constitution and documentation for the round, including our offer document. His expertise and dedication made a complex process smooth and efficient — I couldn't recommend him more highly." — Peter Leeson, Founder of Volt (raised $1.57M)

"Jeremy was instrumental in guiding Zea through the legal requirements of our crowdfunding raise. He was extremely professional, thoughtful, and dedicated, putting in a lot of time and energy to ensure everything was done right. Jeremy completely rewrote our constitution so it was exactly what we needed for the stage of business we're in, and he asked us all the right questions to make sure the legal requirements set us up in good standing for the future. His attention to detail and commitment gave us complete confidence throughout the process. Jeremy truly showed up for us as a lawyer, and his dedication to the business made a real difference. He is worth every penny, and I couldn't recommend him more highly." — Hayden Brass, Founder of Zea (raised $927K)

"Jeremy Goldman was instrumental in guiding Formulite through the legal complexities of our crowdfunding campaign. His knowledge and expertise were exemplary, and he handled our complex case with ease, professionalism, and reassurance. From start to finish, we were in excellent hands, and I couldn't have asked for better legal guidance." — Glennis Winnett, Founder of Formulite (raised $507K)

"Jeremy was a game-changer for our Birchal equity crowdfund. He makes complex concepts (cap tables, constitutions, equity structures, capital raising strategy) easy to follow and actually digestible. He understood our business fast and brought real clarity to our raise and business. Since the raise, he's become our go-to advisor for legal and strategy needs. If you're navigating a raise or need someone who really gets startups, we highly recommend Jeremy." — Stefan Muff, Founder of Floraly (completed multiple successful raises)

"With several CSF raises behind us we are pleased that we got Jeremy involved at the beginning to streamline and set up our structure such that it was suitable for CSF investment. Our original company and constitution were not fit for purpose to take on a large number of CSF shareholders. We needed to clarify and protect the rights and obligations of all parties and ensure that we were compliant with all the ASIC requirements for crowdfunding. With Jeremy's guidance we set up a new company with a constitution that gives investors confidence, and which will enable us to offer various scenarios when the time comes to exit or take on a larger investor." — Clem Newton-Brown, Founder of Skyportz (raised $1M+ across multiple raises)
